Welcome to WorkPAL. These Terms of Service ("Terms") govern your access to and use of WorkPAL, an AI-powered work assistant platform operated by StableState LLC ("Company," "we," "our," or "us"). By accessing or using WorkPAL, you agree to be bound by these Terms.

Please read these Terms carefully before using WorkPAL. If you do not agree to these Terms, you may not access or use the service.

1. Acceptance of Terms

By creating an account or using WorkPAL, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using WorkPAL on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

WorkPAL is an AI-powered work assistant that provides:

Conversational AI assistance for work-related tasks
Document analysis and retrieval through knowledge base indexing
Speech-to-text and text-to-speech capabilities
Project organization and session management
Draft generation, planning, and analysis tools

WorkPAL uses Azure AI Foundry and related Microsoft Azure services to deliver its functionality.

3. Account Registration

To use WorkPAL, you may need to create an account. You agree to:

Provide accurate, current, and complete information
Maintain the security of your account credentials
Promptly update any information that changes
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized use

4. Acceptable Use

You agree to use WorkPAL only for lawful purposes and in accordance with these Terms. You may not:

Use the service for any illegal or unauthorized purpose
Upload malicious content, malware, or harmful code
Attempt to gain unauthorized access to the service or its systems
Interfere with or disrupt the service or servers
Reverse engineer, decompile, or disassemble the service
Use the service to harass, abuse, or harm others
Violate any applicable laws or regulations
Infringe on intellectual property rights of others

5. Your Content

You retain ownership of all content you upload to WorkPAL ("Your Content"). By uploading content, you grant us a limited license to process, store, and analyze Your Content solely to provide the service. You represent and warrant that:

You own or have rights to Your Content
Your Content does not violate any third-party rights
Your Content complies with applicable laws

6. AI-Generated Content

WorkPAL uses artificial intelligence to generate responses and content. You acknowledge that:

AI-generated content may not always be accurate or complete
You should verify important information independently
AI responses should not be considered professional advice (legal, medical, financial, etc.)
You are responsible for reviewing and using AI-generated content appropriately

7. Intellectual Property

WorkPAL, including its design, features, and underlying technology, is owned by StableState LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on WorkPAL without our express written permission.

8. Privacy

Your use of WorkPAL is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

9. Service Availability

We strive to maintain high availability of WorkPAL, but we do not guarantee uninterrupted access. We may modify, suspend, or discontinue the service at any time with or without notice. We are not liable for any modification, suspension, or discontinuation of the service.

10. Fees and Payment

Certain features of WorkPAL may require payment. If applicable:

Fees are described at the time of purchase
All fees are non-refundable unless otherwise stated
We may change fees with reasonable notice
You are responsible for applicable taxes

11. Disclaimer of Warranties

WORKPAL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STABLESTATE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF WORKPAL.

13. Indemnification

You agree to indemnify, defend, and hold harmless StableState LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from your use of WorkPAL, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We may terminate or suspend your access to WorkPAL at any time, with or without cause, with or without notice. Upon termination:

Your right to use the service immediately ceases
We may delete your account and data
Provisions that by their nature should survive will survive termination

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting a notice on our website or sending you an email. Your continued use of WorkPAL after changes constitutes acceptance of the modified Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wisconsin, United States, without regard to its conflict of law provisions.

17. Dispute Resolution

Any disputes arising from these Terms or your use of WorkPAL shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and StableState LLC regarding WorkPAL and supersede any prior agreements.
